Terms and Conditions

Article 1 – Definitions

1.1 SYOD: SYOD B.V., based in The Hague, the Netherlands.
1.2 ombrio: The European digital transaction platform operated by SYOD for the recording, processing and sharing of home-taken vital sign measurements.
1.3 User: The natural person acting as a consumer who takes out a subscription to ombrio.
1.4 Healthcare Provider: An independent professional healthcare provider who, via ombrio – following explicit consent – gains access to measurement data.
1.5 Agreement: The distance contract between SYOD and the User concerning the use of ombrio.
1.6 Subscription: The ongoing agreement under which the User gains access to ombrio in return for payment.

Article 2 – Applicability

2.1 These General Terms and Conditions apply to all offers, agreements and legal relationships between SYOD and the User.
2.2 The Agreement is concluded electronically in accordance with European consumer legislation.
2.3 Should any provision prove to be invalid, the remaining provisions shall remain in full force and effect.

Article 3 – Nature of the Service

3.1 ombrio is a digital platform for the recording and transmission of measurement data.
3.2 SYOD is not a healthcare provider and does not provide medical advice.
3.3 ombrio is not a substitute for a consultation with a doctor or medical specialist.
3.4 Healthcare providers operate entirely independently of SYOD

Article 4 – Subscription and Duration

4.1 The Subscription is entered into for an initial period of 12 months.
4.2 Upon expiry, the Subscription is automatically renewed for an indefinite period.
4.3 After the initial period, the Subscription may be cancelled on a monthly basis.

Article 5 – Right of withdrawal

5.1 The user has the right to withdraw from the Agreement within 14 days without giving any reason.
5.2 If performance has already taken place, a proportionate compensation may be payable.

Article 6 – Reimbursement and Payment

6.1 All prices are shown inclusive of VAT.
6.2 In the event of late payment, SYOD may charge statutory interest and collection costs.

Article 7 – Liability

7.1 SYOD is liable exclusively for direct damage caused by wilful misconduct or gross negligence.
7.2 Liability is limited to the amount paid by the User in the 12 months preceding the incident giving rise to the damage.

Article 8 – Personal Data and the GDPR

8.1 SYOD processes personal data in accordance with the GDPR.
8.2 Health data is processed exclusively on the basis of explicit consent or a legal basis.

Article 9 – Intellectual Property

9.1 All rights to ombrio are vested in SYOD.
9.2 The user is granted a limited, non-transferable right of use.

Article 10 – Applicable Law

10.1 The Agreement is governed by Dutch law.
10.2 Disputes shall be submitted to the competent court in The Hague, unless European consumer law provides otherwise.
